Commercial model
GrayPass is one platform for action-specific assurance. Commercial terms cover an agreed application scope and service period. Contact founders@graypass.org for evaluation and production terms.
The signed agreement determines fees, allowances, service dates, payment terms, renewal, and any service additions. This chapter explains the platform commitment, usage allowances, evaluation credit, and collection schedule so your team can plan and reconcile the agreement.
From sandbox to production
| Stage | Purpose | Commercial boundary |
|---|---|---|
| Sandbox | Integrate the API, exercise failure paths, and understand the console. | Sandbox activity does not generate production usage overages. |
| Paid evaluation | Answer an agreed application-specific question against defined success criteria. | A signed agreement defines the fixed evaluation fee and service period separately from technical evaluation runs. |
| Production agreement | Cover a defined service term, included usage, and additional usage. | An annual platform commitment, selected meter, and collection schedule govern the term. |
| Enterprise addition | Cover an additional service or capability in the agreement. | Each addition has an agreed amount, scope, and service period. |
Define the intended workflow, protected actions, evaluation criteria, and integration scope before selecting terms. The capabilities and evaluation guides help your technical and procurement teams agree that scope.
Annual platform fee and collection
A production agreement has an annual platform fee. The supported collection schedules are annual upfront, four quarterly installments, or twelve monthly installments. Quarterly and monthly collection distribute the annual commitment across the agreed installment schedule.
When an amount cannot divide evenly into cents, the final installment carries the remainder. The schedule shows gross platform fees, any eligible evaluation credit, net installments, and invoice dates. Taxes, usage, and additions are represented separately where applicable.
Prepaid collection is the standard access prerequisite. An approved Net 30 arrangement uses the prerequisite and due dates recorded in the agreement.
Included and additional usage
The agreement selects one meter: Active Brainprint months or Assured Actions. It specifies the units included in each contractual monthly window and the exact additional-usage rate. The included allowance applies throughout the annual term, one window at a time. Unused units expire at the monthly window's end.
The billing window follows the original UTC service-start anniversary. Covered applications share one allowance pool for that window, regardless of application labels.
| Commercial feature | Treatment |
|---|---|
| Annual platform commitment | Collect upfront, quarterly, or monthly under the agreed annual obligation. |
| Included usage | A monthly allowance for the selected meter, shared by the covered application scope. |
| Additional usage | Rate eligible units above that window's allowance in USD. |
| Approved allowance, meter, or rate changes | Take effect at the next contractual window. The current window keeps its agreed terms. |
| Enterprise additions | Explicit service dates and a finite agreed amount, including an addition covering part of a term. |
Standard agreements rate usage in USD against one monthly pool for the covered application scope. Annual collection uses the annual payment schedule while preserving monthly allowance windows. A partial-term addition uses its explicitly agreed amount and service period. Confirm these terms when planning additional applications or services.
Usage and billing defines both meters, deduplication, exclusions, and rounding. Production shadow-mode assurance counts according to the agreement's usage and shadow-period terms.
Evaluation conversion credit
An eligible paid evaluation can produce a credit toward the first production term when the production agreement is signed within the agreed conversion window. The supported standard deadline is the end of the UTC date 30 days after the evaluation end date, inclusive. The actual signature timestamp is used to assess eligibility.
Eligible evaluation fees collected and available after refunds or adjustments provide credit, excluding taxes. Apply that credit to the earliest first-term platform installments until exhausted. Additional usage, taxes, enterprise additions, and renewal fees retain their own charges. Credit offsets eligible invoices; cash refunds follow their separate agreed terms.
Review the credit amount, source evaluation, signature date, and net installment schedule with GrayPass before activation. Request any evaluation extension or correction through the agreed contracting process so the recorded schedule matches the signed terms.
Enterprise additions
An addition has signed terms defining the deliverable and a service period within the production agreement. It can be a one-time charge or a term total collected on the agreement's installment cadence. Recurring additions align to complete installment periods within that term. Enterprise additions retain their agreed charge, independently of evaluation credit.
Additions apply to their signed term. Include any continuing addition explicitly in the renewal agreement. Confirm the deliverable, service dates, dependencies, and renewal treatment in the agreement.
Changes and renewal
Agreement changes require the recorded approval process. Use the payment portal for payment methods and invoices, and the signed-agreement process for plan changes and cancellation. Renewal amount and any first-term concession must be explicit. Non-renewal follows the signed agreement and is recorded through the console or agreed contact process.
Service access, annual obligations, invoices, and payment adjustments each follow their recorded lifecycle. See renewal and lifecycle for the separation between access, remaining commitments, and receivables.
Procurement and activation
Before activation, align the intended use, applicable legal/data-processing documents, support commitments, tax treatment, payment method, and protected actions. GrayPass confirms activation after the agreement and its prerequisites are satisfied. Customer-specific pricing, commercial annexes, controlled security evidence, and executed documents are supplied through an agreed private review process.
Your team reviews the agreement, maintains accurate payer and contact details, pays released invoices, and records non-renewal when appropriate. GrayPass handles approval of commercial terms, invoice release, tax setup, and financial corrections. The billing console guide explains which actions your account can perform.
